1. Purpose and Scope
This Code of Conduct (COC) outlines the principles, standards, and behaviours expected of all employees, officers, directors, consultants, contractors, and authorised channel partners of IM AMBASSADOR LTD (“the Company”). It aims to promote a respectful, transparent, and professional working environment consistent with our values of integrity, accountability, and fairness.
This policy applies to all personnel working on behalf of IM AMBASSADOR LTD, in the UK and internationally.
2. Workplace Conduct and Anti-Harassment
IM AMBASSADOR LTD is committed to providing a workplace where all individuals are treated with respect, dignity, and equality. Harassment, bullying, discrimination, or any form of offensive behaviour—whether physical, verbal, visual, or online—is strictly prohibited.
Employees must:
- Maintain professionalism in all interactions;
- Avoid behaviour that could be interpreted as intimidating, discriminatory, or degrading; and
- Report any instance of harassment or misconduct immediately to management or HR.
Supervisors and managers have a duty to lead by example, promote a positive work culture, and prevent any abuse of authority or misuse of position.
3. Workplace Obligations
All employees are expected to demonstrate a high level of initiative, efficiency, and honesty in their work. The following obligations apply:
- Company Property – Employees are responsible for safeguarding company assets, equipment, and confidential information. Any loss or misuse of property must be reported promptly.
- Compliance and Ethics – Employees must follow all company policies, applicable laws, and professional standards.
- Fair Business Practices – Employees must not discuss pricing, market strategies, or client information with competitors, nor make unlawful agreements with suppliers or service providers.
- Gifts and Hospitality – Employees must not offer or accept any gifts, entertainment, or payments that could influence business decisions or create a conflict of interest.
- Appearance and Behaviour – Employees must maintain personal hygiene and a professional appearance suitable for a formal business environment.
4. Conflict of Interest
Employees must act in the best interests of the Company and avoid any personal, financial, or professional activities that may conflict with those interests.
Conflicts include but are not limited to:
- Engaging in outside employment or business that competes with the Company without written approval;
- Using Company property or information for personal gain; or
- Making decisions that benefit friends, family members, or personal associates.
Any potential or perceived conflict of interest must be disclosed immediately to management for guidance.
5. Confidentiality and Non-Disclosure
All employees must protect the confidential information of IM AMBASSADOR LTD and its partners.
Confidential information includes, but is not limited to:
- Details about university partners, student clients, and business associates;
- Financial records, marketing strategies, and contractual information;
- Internal procedures, systems, or technical data; and
- Employee and partner personal data.
Employees must not disclose such information to any third party during or after their employment, unless required by law or authorised in writing.
Upon termination, all documents, files, and data belonging to the Company must be returned or permanently deleted.
6. Data Protection and Information Security
In accordance with the UK GDPR and Data Protection Act 2018, all employees must handle personal data lawfully, fairly, and securely. Employees are expected to:
- Use personal data only for legitimate business purposes;
- Keep all digital and physical files secure; and
- Report any suspected data breaches immediately to the Data Protection Officer (DPO).
Unauthorised access, use, or disclosure of personal data may lead to disciplinary and legal consequences.
7. Integrity and Business Ethics
Employees must uphold the highest standards of integrity and honesty in all business dealings.
They must:
- Avoid bribery, kickbacks, or improper payments;
- Conduct all activities transparently and ethically;
- Respect cultural diversity and promote inclusivity;
- Work diligently and maintain the dignity of their role; and
- Represent IM AMBASSADOR LTD in a manner that enhances its reputation and professionalism.
8. Anti-Bribery and Corruption
Bribery and corruption are strictly prohibited under the UK Bribery Act 2010.
Employees and representatives must not:
- Offer or accept gifts, cash, or other benefits to influence a business outcome;
- Make facilitation payments or engage in corrupt practices; or
- Authorise or ignore unethical conduct by others.
Any suspicion of bribery must be reported immediately to compliance@imambassador.com.
9. Use of Company Resources and Technology
Employees must use company IT systems, devices, and email accounts responsibly and for legitimate business purposes only. Misuse of electronic communications, social media, or company networks—including the sharing of confidential data or inappropriate material—is prohibited.
10. Health, Safety, and Environment
We are committed to providing a safe and healthy working environment.
Employees must follow health and safety procedures, report hazards promptly, and act responsibly to prevent accidents or environmental harm.
11. Reporting Misconduct and Whistleblowing
Employees are encouraged to raise any concerns about unethical behaviour, legal violations, or policy breaches. Reports may be made confidentially to:
- Line Manager or HR Department; or
- Compliance Officer: compliance@imambassador.com
No employee will face retaliation for reporting a concern in good faith.
12. Disciplinary Action
Violation of this Code may result in disciplinary action up to and including dismissal or termination of contract. In cases of criminal behaviour, IM AMBASSADOR LTD reserves the right to refer matters to law enforcement authorities.
13. Acknowledgement and Compliance
All employees are required to read, understand, and comply with this Code of Conduct.
Acknowledgement of receipt and acceptance forms part of each employee’s terms and conditions of employment.
14. Review and Amendment
This policy will be reviewed annually by senior management and may be amended to reflect legislative, organisational, or operational changes. The latest version will always be available on our website.
